1. Acceptance of Terms

By accessing, browsing, or using the Record Label Registry ("the Service"), operated by THRY ARCHIVE LLC ("THRY ARCHIVE," "we," "us," or "our") at recordlabelregistry.com, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Service.

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use this Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to both you individually and the entity you represent.

By accepting these Terms, you also acknowledge that you have reviewed and agree to be bound by the following companion documents, each of which is incorporated herein by reference:

Your continued use of the Service following the posting of any amendments to these Terms constitutes your acceptance of such amendments. If you do not agree to any amended Terms, your sole remedy is to discontinue use of the Service and export your data as provided in Section 12.

2. Definitions

The following terms, when capitalized in these Terms, shall have the meanings set forth below:

"Service" means the Record Label Registry platform, including the website at recordlabelregistry.com, all associated APIs, tools, features, content, and documentation provided by THRY ARCHIVE LLC.

"Registry" means the centralized, publicly accessible database of record labels maintained by the Service.

"Registry ID" means the unique identifier assigned to each registered label upon successful registration, formatted as RLR-YYYY-NNNNN (where YYYY represents the year of registration and NNNNN represents a sequential five-digit number).

"User" means any individual or entity that creates an account on the Service, whether or not they have registered a label.

"Label" means a record label, music imprint, or music-related entity that has been registered in the Registry through the Service.

"Verified Label" means a Label that has successfully completed the verification process and holds an active, unexpired verification status.

"Account" means the unique, password- protected account created by a User to access the Service, including all associated profile data, settings, and preferences.

"Content" means all information, data, text, images, logos, graphics, audio files, and other materials submitted to, displayed on, or transmitted through the Service by a User.

"API" means the Application Programming Interface provided by the Service that allows authorized third parties to programmatically access Registry data subject to subscription terms and rate limits.

"Platform" means the technical infrastructure, software, and systems used to deliver the Service.

"Verification" means the optional, paid process by which the Service reviews publicly available information to assess the legitimacy and operating status of a Label.

"Digital Identity Stamp" means a machine-readable verification token issued by the Service to Verified Labels, which can be embedded in external systems to confirm verification status.

"Confidential Information" means all non-public business information, financial data, operational details, trade secrets, and proprietary data submitted by Users to the Service, as further defined in the Confidentiality Agreement.

3. Account Registration and Security

3.1 Registration Requirements

To use certain features of the Service, you must create an Account by providing accurate, current, and complete information as prompted by the registration form. You agree to update your registration information promptly to keep it accurate, current, and complete at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate suspension or termination of your Account.

3.2 One Account Per Person

Each individual may maintain only one (1) Account on the Service. A single Account may be associated with multiple Labels. The creation of duplicate or secondary Accounts for any purpose, including to circumvent restrictions, suspensions, or terminations, is strictly prohibited and constitutes grounds for immediate termination of all associated Accounts.

3.3 Password Security

You are solely responsible for safeguarding the password and credentials associated with your Account. You agree not to disclose your password to any third party. You are fully responsible for all activities that occur under your Account, whether or not you have authorized such activities. You must use a strong, unique password that is not used on any other service or platform.

3.4 Account Sharing Prohibited

Accounts are for individual use only. Sharing Account credentials with others, or permitting others to access the Service through your Account, is prohibited. If you require multiple individuals to manage a Label, please contact us to discuss authorized multi-user arrangements.

3.5 Unauthorized Access Notification

You must notify THRY ARCHIVE LLC immediately at legal@recordlabelregistry.com upon becoming aware of any unauthorized use of your Account or any other breach of security. THRY ARCHIVE LLC shall not be liable for any loss or damage arising from your failure to comply with this obligation.

3.6 Account Suspension

We reserve the right to suspend, disable, or terminate any Account at any time if we reasonably believe that the Account has been used in violation of these Terms, applicable law, or in a manner that could harm the Service, other Users, or third parties. We will make reasonable efforts to notify you prior to suspension, except where immediate action is required to protect the integrity of the Service.

3.7 Account Data Timestamps

All Account data is timestamped at the time of creation using Coordinated Universal Time (UTC). These timestamps are recorded in our system logs and are considered authoritative for purposes of determining Account creation date, registration sequence, and priority in the event of disputes.

4. Registry Services

4.1 Label Registration

Upon successful registration of a Label, the Service will assign a unique Registry ID in the format RLR-YYYY-NNNNN. This Registry ID serves as a persistent, non-transferable identifier within the Registry system. Registration of a Label in the Registry is an informational listing only; it does not constitute legal certification, government registration, trademark registration, business licensing, or any form of official recognition by any governmental or regulatory authority.

Registry IDs are non-transferable and may not be assigned, sold, traded, or conveyed to another party except through the formal claim process established by the Service. If ownership of a Label changes, the new owner must submit a formal claim request through the Service, which will be reviewed and processed in accordance with our claim verification procedures.

Registry IDs are permanently retired upon Account termination or Label removal and will not be reassigned to any other Label.

4.2 Verification

Important Notice Regarding Verification

Verification is an optional, paid service available for $49 per year. The verification process involves a review of publicly available information, including but not limited to digital service provider (DSP) presence, social media profiles, official websites, and publicly listed catalog information.

Verification is NOT legal certification or endorsement. The verification badge does not constitute, imply, or serve as a substitute for legal certification, business licensing, trademark registration, or any form of government or regulatory approval. It does not mean that THRY ARCHIVE LLC endorses, recommends, guarantees, or vouches for the Verified Label, its business practices, its financial standing, or its products and services.

Verification status is based solely on publicly available information and may be revoked at any time if the Service determines, in its sole discretion, that the Label no longer meets verification criteria, has provided false or misleading information, or has violated these Terms. The Service reserves the right to approve or deny verification applications at its sole discretion without obligation to provide detailed reasoning.

4.3 Streaming Analytics

The Service may provide cross-platform data aggregation and streaming analytics sourced from third-party platforms, including but not limited to Spotify, YouTube, Deezer, Last.fm, MusicBrainz, and Genius. This data is provided for informational purposes only and is aggregated from publicly available APIs and data sources maintained by those third parties.

The accuracy, completeness, and timeliness of streaming analytics data depends entirely on the third-party APIs from which it is sourced. THRY ARCHIVE LLC does not independently verify the data provided by third-party platforms and makes no representations or warranties regarding the accuracy, reliability, or real-time nature of such data. We do not guarantee real-time accuracy of any analytics data presented through the Service.

You acknowledge and agree that business decisions, financial projections, or contractual commitments made in reliance on streaming analytics data obtained through the Service are made at your sole risk and discretion.

4.4 Certificates and Exports

The Service may generate PDF certificates, data exports, reports, and other documents related to a User's Labels and Account information. These documents are informational in nature and do not constitute legal instruments, official certifications, notarized documents, or evidence of legal status. They should not be relied upon as substitutes for legal, regulatory, or governmental documentation.

All system-generated documents include timestamps reflecting the date and time of generation in Coordinated Universal Time (UTC). These timestamps indicate when the document was created and do not represent the date of any underlying legal event or status change.

4.5 Digital Identity Stamps

Digital Identity Stamps are machine-readable verification tokens issued by the Service to Verified Labels. These tokens may be embedded in external systems, websites, or applications to programmatically confirm a Label's verification status with the Registry.

Digital Identity Stamps are subject to expiration in accordance with the associated verification period and may be revoked at any time if the underlying verification status is revoked or expires. Expired or revoked Digital Identity Stamps will return an invalid status when queried. Users and third parties should not cache or store the verification status of a Digital Identity Stamp without periodic revalidation against the Service.

The Digital Identity Stamp format, encoding scheme, and associated branding are proprietary to THRY ARCHIVE LLC. Tampering with, forging, or misrepresenting a Digital Identity Stamp is strictly prohibited and may result in immediate Account termination and legal action.

4.6 API Access

Access to the Service's API is governed by the applicable API subscription tier selected by the User. Each subscription tier defines the scope of data access, rate limits, and permitted use cases. Rate limits are enforced automatically, and exceeding the rate limits for your subscription tier may result in throttling, temporary suspension, or termination of API access.

API keys are confidential credentials and must be treated as such. API keys are non-transferable and may not be shared, published, embedded in client-side code, or made accessible to unauthorized parties. You are fully responsible for all activity that occurs using your API key. Any compromise or suspected compromise of an API key must be reported to THRY ARCHIVE LLC immediately.

THRY ARCHIVE LLC reserves the right to modify API endpoints, response formats, rate limits, and available data fields at any time. We will make reasonable efforts to provide advance notice of material changes to the API, but we do not guarantee backward compatibility.

5. Data Handling and Confidentiality

All business data, operational information, financial details, and proprietary information submitted by Users to the Service is treated as Confidential Information in accordance with the Confidentiality Agreement, which is incorporated into these Terms by reference. Users should review the Confidentiality Agreement carefully to understand the scope of protections afforded to their data.

THRY ARCHIVE LLC maintains comprehensive audit logs of all data access events within the Service. These logs record the identity of the accessing party, the nature of the access, the data accessed, and the timestamp of the access event. Audit logs are retained in accordance with the Document Retention Policy.

Users may review their own activity log through the Account dashboard. The activity log provides a record of all material actions taken on the Account, including but not limited to login events, data modifications, verification submissions, document generation, and API key management activities.

6. Document Generation and Timestamps

All system-generated documents produced by the Service, including but not limited to registration certificates, verification certificates, data exports, and analytics reports, include creation timestamps recorded in Coordinated Universal Time (UTC). These timestamps are generated by the Service's internal clock system and are considered authoritative for purposes of determining document creation sequence and timing.

Each system-generated document is assigned a unique document identifier (Document ID) that can be used to reference and verify the authenticity of the document. Document IDs follow a standardized format specific to the document type and are recorded in the Service's document management system.

The Service's activity log records all material Account actions, including but not limited to: Account creation, profile modifications, Label registrations, verification submissions and outcomes, payment transactions, document generation events, API key creation and revocation, data export requests, and login and authentication events.

Users are entitled to request a monthly data export of their Account data and associated Label data. Data exports are provided in machine-readable format and include all data associated with the User's Account at the time of export.

All system-generated documents are digitally signed with Registry system identifiers to facilitate verification of document origin and integrity. The digital signature mechanism is proprietary to THRY ARCHIVE LLC, and any attempt to forge, replicate, or tamper with a digital signature is strictly prohibited.

7. User Content and Conduct

7.1 User Responsibility for Content

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Content that you submit, post, display, or otherwise make available through the Service. You represent and warrant that all information you provide to the Service is truthful, accurate, and not misleading, and that you have all necessary rights and permissions to submit such Content.

7.2 Prohibited Conduct

When using the Service, you agree not to engage in any of the following prohibited activities:

  • False Information. Submitting false, misleading, fraudulent, or deceptive information in connection with your Account, any Label registration, or any verification application.
  • Impersonation. Impersonating any person, entity, or organization; falsely claiming an affiliation with any person, entity, or organization; or misrepresenting the source, identity, or Content transmitted through the Service.
  • Unauthorized Claims. Registering, claiming, or attempting to claim a Label that you do not have the legal authority to represent, or asserting rights over a Label that belongs to another party.
  • Data Scraping. Using automated tools, bots, crawlers, scrapers, or any other automated means to access, collect, copy, or extract data from the Service without prior written authorization from THRY ARCHIVE LLC.
  • Service Interference.Interfering with, disrupting, or attempting to gain unauthorized access to the Service, its servers, networks, or connected systems; introducing viruses, malware, or other harmful code; or taking any action that imposes an unreasonable or disproportionately large load on the Service's infrastructure.
  • Third-Party Rights Violations. Uploading, posting, or transmitting Content that infringes upon the copyright, trademark, patent, trade secret, or other intellectual property or proprietary rights of any third party.
  • Circumvention. Attempting to circumvent, disable, or otherwise interfere with any security features, access controls, rate limits, or technical measures of the Service.
  • Misrepresentation of the Registry. Falsely representing the nature, status, or authority of the Registry; claiming government affiliation; or suggesting that registration or verification constitutes legal certification or official recognition.

7.3 Content Removal

We reserve the right, but are not obligated, to review, monitor, edit, or remove any Content that, in our sole judgment, violates these Terms, is objectionable, or may expose THRY ARCHIVE LLC or its Users to harm or liability. We may take such action without prior notice. For additional details regarding prohibited conduct, please review our Acceptable Use Policy.

8. Intellectual Property

8.1 THRY ARCHIVE LLC Ownership

The Service, including but not limited to its design, visual interface, layout, look and feel, software, source code, algorithms, databases (excluding User-submitted Content), documentation, and all associated intellectual property, is owned by THRY ARCHIVE LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service, except for the limited right to use the Service in accordance with these Terms.

8.2 User Content Ownership

You retain all ownership rights in the Content that you submit to the Service, including but not limited to label names, descriptions, logos, images, biographical information, and catalog data. THRY ARCHIVE LLC does not claim ownership of your Content.

8.3 License Grant

By submitting Content to the Service, you grant THRY ARCHIVE LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, process, adapt, modify, and publish such Content solely in connection with the operation, promotion, and improvement of the Service. This license includes, without limitation, the right to display your Content in the public Registry, in search results, in API responses, in promotional materials, and in system-generated documents. This license survives termination of your Account only to the extent necessary to fulfill the purposes described herein and in the Document Retention Policy.

8.4 Trademarks

The "Record Label Registry" name, the Registry ID format (RLR-YYYY-NNNNN), the verification badge design, the Digital Identity Stamp format, and all associated logos, graphics, and branding are trademarks or service marks of THRY ARCHIVE LLC. You may not use these marks without prior written authorization from THRY ARCHIVE LLC, except as expressly provided through official embed widgets and verification badge display guidelines published by the Service. Unauthorized use of these marks may constitute trademark infringement and may subject you to legal action.

9. Payment Terms

9.1 Verification Fees

Verification is a paid service priced at forty-nine United States dollars ($49.00 USD) per year, billed annually. All payments for verification services are processed through Stripe and are subject to Stripe's terms of service and payment processing agreements.

9.2 API Subscription Fees

API access is available through tiered subscription plans, each billed monthly. The specific pricing, rate limits, and features of each API subscription tier are published on the Service's pricing page and may be updated from time to time.

9.3 Refund Policy

Refunds are provided on a pro-rated basis only in cases of documented service failures attributable to THRY ARCHIVE LLC, such as extended service outages or material failures to deliver contracted functionality. Verification fees for denied applications will be refunded in full to the original payment method. Approved verification fees are non-refundable except in cases of documented service failure.

9.4 Non-Payment

If any payment is not received by the due date, THRY ARCHIVE LLC will provide a fourteen (14) calendar day grace period during which the User may cure the payment deficiency. If payment is not received within the grace period, THRY ARCHIVE LLC reserves the right to suspend the User's verification status, API access, or other paid services until the outstanding balance is resolved. Suspension does not relieve the User of the obligation to pay any outstanding fees.

9.5 Price Changes

THRY ARCHIVE LLC reserves the right to modify pricing for any paid service at any time. Price changes will take effect no sooner than thirty (30) calendar days following written notice to affected Users via email to the address associated with their Account. Existing subscriptions will be honored at the current rate until the end of the then-current billing period, after which the new pricing will apply.

9.6 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, levies, or duties, excluding only taxes based on THRY ARCHIVE LLC's net income.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THRY ARCHIVE LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 Specific Disclaimers

Without limiting the generality of the foregoing, THRY ARCHIVE LLC specifically disclaims any liability or responsibility for:

  • The accuracy, completeness, reliability, or timeliness of data obtained from third-party APIs, including streaming analytics data from Spotify, YouTube, Deezer, Last.fm, MusicBrainz, Genius, or any other third-party source.
  • Any business decisions, financial commitments, contractual obligations, or other actions taken by Users or third parties in reliance on data, analytics, registration status, or verification status obtained through the Service.
  • Unauthorized access to or alteration of your data or transmissions, despite the implementation of commercially reasonable security measures.
  • Any interruption, suspension, or termination of the Service, whether planned or unplanned, temporary or permanent.
  • The conduct or Content of any User or third party on or through the Service.

10.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THRY ARCHIVE LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD); OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO THRY ARCHIVE LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.4 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THRY ARCHIVE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (III) ANY CONTENT OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THRY ARCHIVE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless THRY ARCHIVE LLC, its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

  • Your Content, including but not limited to any claim that your Content infringes or misappropriates the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party.
  • Your violation of these Terms, any applicable law, regulation, or ordinance, or the rights of any third party.
  • Your use or misuse of the Service, the API, the Registry data, or any data obtained through the Service.
  • Any claim by a third party arising from your acts or omissions in connection with the Service.

THRY ARCHIVE LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with THRY ARCHIVE LLC in asserting any available defenses. You shall not settle any claim subject to indemnification without the prior written consent of THRY ARCHIVE LLC.

12. Termination

12.1 Termination by User

You may terminate your Account at any time by contacting us at legal@recordlabelregistry.com or through the Account settings page in the Service. Termination of your Account will result in the deactivation of your public Label profiles and the retirement of associated Registry IDs.

12.2 Termination by THRY ARCHIVE LLC

THRY ARCHIVE LLC may terminate or suspend your Account at any time, with or without cause. In cases of material breach of these Terms, fraud, or conduct that may expose THRY ARCHIVE LLC or its Users to liability, we may terminate your Account immediately without prior notice. In other cases, we will make reasonable efforts to provide notice prior to termination.

12.3 Effect of Termination

Upon termination of your Account, whether by you or by THRY ARCHIVE LLC:

  • You will have a thirty (30) calendar day window following termination during which you may export your Account data and Label data through the data export functionality of the Service. After this window closes, your data will be handled in accordance with the Document Retention Policy.
  • Your right to access and use the Service will cease immediately, except for the limited purpose of data export during the 30-day window described above.
  • Any outstanding payment obligations shall survive termination and remain due and payable.
  • Your public Label profiles will be deactivated and removed from the public Registry.
  • Associated Registry IDs will be permanently retired and will not be reassigned.

12.4 Surviving Provisions

The following provisions shall survive termination of these Terms and your Account: Section 5 (Data Handling and Confidentiality), Section 8 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Dispute Resolution), Section 15 (Governing Law), and any other provisions that, by their nature, should survive termination.

13. Dispute Resolution

13.1 Good Faith Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute"), the parties agree to first attempt to resolve the Dispute through good faith negotiation. The complaining party shall provide written notice of the Dispute to the other party, including a brief description of the Dispute and the relief sought. The parties shall use reasonable efforts to resolve the Dispute within thirty (30) calendar days of receipt of such notice.

13.2 Binding Arbitration

If the parties are unable to resolve the Dispute through good faith negotiation within the thirty (30) day period, the Dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules. The seat of arbitration shall be the State of Delaware. The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND THRY ARCHIVE LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13.4 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court, provided the claim does not exceed ten thousand United States dollars ($10,000.00 USD).

13.5 Injunctive Relief

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction for the purpose of restraining any threatened or actual breach of the confidentiality, intellectual property, or data protection provisions of these Terms or any companion agreement.

14. Modifications to Terms

THRY ARCHIVE LLC reserves the right to modify, amend, or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this document and increment the version number.

We will provide at least thirty (30) calendar days' advance written notice of any material modifications to these Terms via email to the address associated with your Account. The notice will describe the nature of the changes and their effective date.

Material changes to these Terms, including but not limited to changes to pricing, dispute resolution mechanisms, limitations of liability, or data handling practices, may require your affirmative acceptance. In such cases, we will present the updated Terms for your review and require you to indicate your acceptance before continuing to use the Service.

For non-material changes, your continued use of the Service following the expiration of the thirty (30) day notice period constitutes your acceptance of the modified Terms.

If you do not agree to any modified Terms, your sole and exclusive remedy is to discontinue your use of the Service. You may export your data in accordance with Section 12.3 prior to terminating your Account.

15. Governing Law

These Terms, and any Dispute arising out of or in connection with these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Delaware.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect. If such modification is not possible, the invalid provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

16.2 Waiver

The failure of THRY ARCHIVE LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any waiver must be in writing and signed by an authorized representative of THRY ARCHIVE LLC to be effective.

17. Entire Agreement

These Terms of Service, together with the Privacy Policy, the Data Processing Agreement, the Confidentiality Agreement, the Document Retention Policy, and the Acceptable Use Policy, constitute the entire agreement between you and THRY ARCHIVE LLC with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

No amendment, modification, or supplement to these Terms shall be binding unless it is in writing and executed in accordance with Section 14 of these Terms.
