1. Acceptance of Terms

By accessing or using the Record Label Registry ("the Service"), operated by THRY ARCHIVE LLC ("THRY ARCHIVE," "we," "us," or "our") at recordlabelregistry.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or by email. Your continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Description of Service

The Record Label Registry is a centralized, publicly accessible directory of record labels. The Service provides:

• Free registration of record labels in a public directory.
• Assignment of unique Registry IDs to registered labels.
• Public profile pages for registered labels.
• Optional paid verification services.
• Search functionality for the public directory.

The Service is informational in nature and is not a government service, regulatory body, or legal authority.

3. Registration

3.1 Account Creation

To register a label, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Label Registration

By registering a label, you represent and warrant that:

• You have the authority to register the label on behalf of the entity or individual that operates it.
• The information you provide is accurate, current, and not misleading.
• The label you are registering is a legitimate record label or music-related entity.
• Registration does not infringe upon the rights of any third party.

3.3 Registry ID

Upon registration, your label will be assigned a unique Registry ID. This ID is non-transferable and remains the property of THRY ARCHIVE LLC. Registry IDs are retired upon cancellation and are not reassigned.

4. Verification

4.1 Verification Process

Verification is an optional, paid service. Upon submission of a verification application and payment of the applicable fee, the Registry will review your label based on publicly available information. The Registry reserves the right to approve or deny verification applications at its sole discretion.

4.2 Verification Duration

Verification status is valid for one year from the date of approval. Renewal is subject to payment of the applicable fee and a new review. The Registry may revoke verification status at any time if it determines that the label no longer meets verification criteria or has violated these Terms.

4.3 Refunds

If a verification application is denied, a full refund of the verification fee will be issued to the original payment method. Approved verification fees are non-refundable.

5. User Obligations

By using the Service, you agree to:

• Provide accurate, current, and complete information in your registration and profile.
• Maintain and update your information as necessary.
• Not impersonate another label, entity, or individual.
• Not register a label that you do not have the authority to represent.
• Comply with all applicable laws and regulations.
• Not use the Service for any fraudulent or unlawful purpose.
• Not interfere with or disrupt the Service or its infrastructure.

6. Prohibited Conduct

You are prohibited from:

• Submitting false, misleading, or fraudulent information.
• Registering labels that infringe upon the trademark or intellectual property rights of others.
• Attempting to circumvent security measures or access unauthorized areas of the Service.
• Using automated tools, bots, or scrapers to access the Service without prior written authorization.
• Harassing, threatening, or abusing other users or THRY ARCHIVE LLC staff.
• Using the Service to distribute spam, malware, or other harmful content.
• Misrepresenting the nature of the Registry or your relationship with it (e.g., claiming government affiliation).

Violation of these prohibitions may result in immediate suspension or termination of your account. See our Acceptable Use Policy for additional details.

7. Fees and Payment

Basic registration with the Record Label Registry is free. Verification is a paid service priced at $49 per year, subject to change with prior notice.

• All payments are processed through Stripe and are subject to Stripe's terms of service.
• Prices are listed in US Dollars (USD).
• Verification fees are non-refundable once approved. Denied applications receive a full refund.
• THRY ARCHIVE LLC reserves the right to modify pricing with reasonable notice to existing subscribers.

8. Intellectual Property

The Service, including its design, features, content, and functionality, is owned by THRY ARCHIVE LLC and is protected by applicable intellectual property laws.

You retain ownership of the content you submit to the Service (e.g., label descriptions, logos). By submitting content, you grant THRY ARCHIVE LLC a non-exclusive, worldwide, royalty-free license to display, distribute, and reproduce that content in connection with the operation of the Service.

The "Record Label Registry" name, logo, and associated branding are the property of THRY ARCHIVE LLC. You may not use these marks without prior written authorization, except as provided through official embed widgets and verification badges.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRY ARCHIVE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL THRY ARCHIVE LLC'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO THRY ARCHIVE LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THRY ARCHIVE LLC DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• THE INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT.
• REGISTRATION OR VERIFICATION STATUS CONFERS ANY LEGAL RIGHTS, CERTIFICATIONS, OR PROTECTIONS.
• THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

You acknowledge that you use the Service at your own risk and are solely responsible for any decisions made based on information obtained from the Service.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your label(s) will be removed from the public directory.

THRY ARCHIVE LLC reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy.
• Submission of false or misleading information.
• Fraud, abuse, or other harmful conduct.
• Non-payment of applicable fees.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitations of liability, and disclaimers.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which THRY ARCHIVE LLC is organized, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
